NOTICE OF SALE

GEORGIA, CRISP COUNTY.

By virtue of a power of sale contained in that certain Leasehold Deed to Secure Debt from R. Joe Waldrip, Inc. to Planters First Bank, dated December 21, 2010, and recorded in Deed Book 869, Page 001, Crisp County Public Records; said Leasehold Deed to Secure Debt having been given to secure a Note in the original principal sum of ONE MILLION TWO HUNDRED TWENTY-FIVE THOUSAND DOLLARS AND 00/100 ($1,225,000.00), with interest from date at the rate called for pursuant to said Note on the unpaid balance until paid, as well as any and all other indebtedness then or thereafter owing by R. Joe Walrdrip, Inc. to Planters First Bank; there will be sold by the undersigned, at public outcry, to the highest bidder for cash, before the Courthouse door at Cordele, Crips County, Georgia, within the legal hours of sale on the first Tuesday in December, 2012, a leasehold interest under Ground Lease dated May 31, 2004, recorded in Deed Book 628, Page 009, Crisp County Public Records, by and between Charles C. Greer, III (Lessor) and R. Joe Waldrip (Lessee), assigned by R. Joe Waldrip to R. Joe Waldrip, Inc. on August 5, 2004, pursuant to Collateral Assignment of Ground Lease, recorded in Deed Book 628, Page 011, Crisp County Public Records, in and to the following described property:

All that tract or parcel of land lying and being in Land Lot 24 in the Eleventh Land District of Crisp County, Georgia, being more particularly described as follows: To establish the point of beginning, commence at the point of the intersection of the original center line of Interstate Highway 75 with the center line of U.S. Highway 280, such point being marked by a masonry drill mark in the elevated median of U.S. Highway 280, and proceed thence north 79 degrees 22 minutes 53 seconds west along the center line of U.S. Highway 280 for a distance of 400.00 feet to a point, and thence proceed south 10 degrees 37 minutes 07 seconds west for 70.0 feet to a point on the southerly right of way boundary of U.S. Highway 280 which is the true Point of Beginning.

From the Point of Beginning proceed thence south 10 degrees 37 minutes 07 seconds west for 215.00 feet to a point; thence north 79 degrees 22 minutes 53 seconds west for 200.00 feet to a point; thence north 10 degrees 37 minutes 07 seconds east for 225 feet to a point on the southerly right of way boundary of U.S. Highway 280; and thence along the southerly right of way boundary of U.S. Highway 280 south, 79 degrees 22 minutes 53 seconds east for 100.0 feet to a point, south 10 degrees 37 minutes 07 seconds west for 10.0 feet to a point, and south 79 degrees 22 minutes 53 seconds east for 100.0 feet to the Point of Beginning.

Said tract containing 1.010 acres, more or less. Referenced is made to a Plat of Survey prepared by Earl D. Raines, Georgia Registered Land Surveyor No. 1512, dated October 17, 1998, recorded on Plat Slide 29-S as an aide to the foregoing description.

The property is under lease to R. Joe Waldrip, Inc. as evidenced by a "Memorandum of Ground Lease" from Charles C. Greer, III to R. Joe Waldrip dated May 31, 2004, recorded in Deed Book 628, pages 009-010, Public Records, Crisp County, Georgia, and assigned by R. Joe Waldrip to R. Joe Waldrip, Inc. by instrument dated August 5, 2004, recorded in Deed Book 628 at page 011, Public Records, Crisp County, Georgia.

The debt secured by the said Leasehold Deed to Secure Debt has been and is hereby declared due because of nonpayment of monthly installments on said loan. The debt remaining in default, this sale shall be made for the purpose of paying the same and all expenses of this sale, including attorney's fees.

Said leasehold interest will be sold as the leasehold interest of R. Joe Waldrip, Inc.
