NOTICE TO THE PUBLIC YOU ARE HEREBY NOTIFIED that on the 13th day of August, 2012, at 10:00 a.m., at the Richmond County Courthouse, in Augusta-Richmond County, Georgia, Judge Michael N. Annis of the Superior Court of Richmond County will hear the case of the STATE OF GEORGIA v. DEVELOPMENT AUTHORITY OF RICHMOND COUNTY and STARBUCKS MANUFACTURING CORPORATION, a Civil Action, Case Number 2012-RCCV-434 in said Superior Court, the same being a proceeding to confirm and validate the Development Authority of Richmond County Revenue Bonds (Starbucks Manufacturing Corporation Project), Series 2012, in the aggregate principal amount of $172,000,000 (the "Bonds"). The Bonds are to be issued for the purpose of acquiring certain production facilities (the "Project") of Starbucks Manufacturing Corporation, a Washington corporation (the "Company"), in Augusta-Richmond County, Georgia. The Project will develop and promote trade, commerce, industry and employment opportunities for the public good and the general welfare, promote the general welfare of the State of Georgia and increase or maintain employment in Augusta-Richmond County. The Development Authority of Richmond County (the "Issuer") will lease the Project to the Company pursuant to a Lease and Financing Agreement (the "Lease and Financing Agreement"), which Lease and Financing Agreement shall provide for lease payments to be made by the Company in an amount fully sufficient to pay the principal, premium, if any, and the interest on the Bonds. The purpose of the proceeding is also to confirm and pass upon the validity of the security for the payment of the Bonds which consists of the Lease and Financing Agreement, a Deed to Secure Debt, by the Issuer to Starbucks Corporation, and an Economic Development Agreement, by and among the Issuer, the Company and the Board of Tax Assessors of Augusta-Richmond County, Georgia. All questions of law and fact pertaining to the right to issue the Bonds and to provide the security therefor will be heard and determined. Any citizen of the State of Georgia residing in Augusta-Richmond County or any other person wherever residing who has a right to object may intervene and become a party to this proceeding. THE ISSUER PROPOSES TO WAIVE THE REQUIREMENT OF A PERFORMANCE AUDIT AND PERFORMANCE REVIEW IN CONNECTION WITH THE BONDS REQUIRED BY SECTION 36-82-100 OF THE OFFICIAL CODE OF GEORGIA ANNOTATED. IN THE ABSENCE OF OBJECTION BY THE ELECTORS OF AUGUSTA-RICHMOND COUNTY, AND UPON ISSUANCE OF THE VALIDATION JUDGMENT, SUCH WAIVER SHALL BECOME EFFECTIVE UPON THE ISSUANCE OF THE BONDS.
