Mr. Wayne Lowe, a resident of Warner Robbins, Georgia, has applied to the Federal Reserve Board for permission to acquire 8,000 newly issued shares of Mid-State Banks, Inc., headquartered in Hawkinsville, Georgia (the Company), the bank holding company that wholly owns PlantersFIRST Bank, headquartered in Cordele Georgia (the Bank). Mr. Lowes pro forma total ownership will be 31.38 percent after this purchase. Mr. Lowe will be a director of the Company.

You are invited to submit comments on Mr. Lowes application to the Federal Reserve Bank of Atlanta, 1000 Peachtree Street N.E., Atlanta, Georgia 30309-4470. The comment period will not end before August 22, 2012, and may be somewhat longer. The Federal Reserve's procedures for processing the application may be found in Section 225.43 of the Board's Regulation Y. Procedures for processing protested applications may be found at 12 CFR 262.25. Questions on the application may be directed to Ms. Kathryn Haney at (404) 498-7298.
